The Briars Golf Club Governance Structure

In 2012, the Briars Golf Club adopted a new Governance structure.
 

What is Governance?

Simply put, a governance model is an approach to the overall management of the Club (roles/responsibilities/accountability) and opens up the lines of communication.
 

What it means to all of us:

  • It provides a smooth flow of authority from Club members through the Board of Directors to General Manager and staff. An example would be the elected Board of Directors act in accordance to the Club By-Laws.

  • Clear line of accountability from the staff and General Manager back through the Board of Directors to the Club members. An example would be that General Manager and staff are abiding by the policies and Executive Limitations set by the Board to achieve the Aims/Goals/Budgets of the Club.

  • Allows the Board to govern with a style that emphasizes outward vision rather than internal preoccupation.

  • Allows the Board to play a stronger policy and governance role rather than a day to day hands-on management role.

Within this new structure, the Board of Directors can focus more of its attention on the Club's future (short and long term) rather than past or present. This changes the structure of the Board in that new Board Committees are created, as shown in Figure 1. They will be responsible to develop plans and policies that will drive the future success of the Club. All Board Committees are approved, appointed and chaired by a Board member and may have non-Board members or staff participants.

Report to the Board (President is ex-officio on every committee).

  • General Manager Evaluation

General Manager Role:

The General Manager is responsible to manage the day to day operations of the Club, reporting to the Board of Directors. His/her actions are governed by policies and Executive limitations set out by the Board of Directors. The Board, with input from the General Manager and Board Committees, sets the Aims/Goals/Budgets to be achieved each year and the General Manager has the freedom to make decisions within those set policies and Executive limitations to attain them.

To assist the GM in this role, Member Committees can be made up of staff, a liaison member from the Board and members of the club. The Committees, listed below, report to the General Manager. The General Manager will designate a member of the committee as Chairman. The Board member(s) attached to each committee may or may not act as Chairman. The actions of all committees will be governed by the set of Aims/Goals/Budgets that will be developed in the fall of each year by the Board.

Club By-Laws and Policies:

The Club is governed by its By-Laws and Policies. By-Laws are approved by the general membership. Policies are developed by the Board for the purpose of managing the Club within those By-Laws.
 

Board Policy Manual:

One step in Governance is the creation of a Board Policy Manual. It contains all of the current policies adopted by the Board over the years. The manual will provide a place to store all policies and provide an orientation for new Board members. It will help the Board eliminate redundant or conflicting policies over time to provide clear, proactive policies to guide the General Manager and staff.

Vision, Mission, Core Values:

A successful long distance road trip requires a plan and a strategy to be successful. Essentially, the same is true for any business entity driving for success. The Vision, Mission and Core Value statements of an organization provides its members with an understanding of:

  • Who the organization is (Core Values)

  • What the organization stands for (Mission) and

  • Where the organization is going (Vision)

The Board has taken the liberty and developed Vision, Mission and Core Values statements it believes represents the Briars Golf Club. They are listed below. These will become the driving force as we build our short and long term Aims/Goals/Budgets and make future decisions related to the direction of the club.
 

Vision Statement

The Briars Golf Club will always strive to be one of the most desirable private golf clubs in Southern Ontario in terms of golf course, quality of service and friendly culture.
 

Mission Statement

The Mission of the Briars Golf Club is the serve our members, families and guests in a professional and friendly manner with the highest quality of services and course conditions in a fiscally responsible manner.
